Disclaimers & Risk Disclosures

1. Nature of VelorisOS Global Ltd
Veloris Global Holdings Ltd ("Veloris", "we", "us") is a strategic business development and partnership facilitation firm registered in England and Wales. We are not a bank, payment institution, electronic money institution, payment service provider, money service business, money transmitter, broker-dealer, investment adviser, virtual asset service provider, crypto-asset service provider, or other regulated financial institution under any applicable law.
We do not: (a) hold, receive, transmit, or take possession of client money; (b) issue any payment instrument; (c) execute any payment transaction; (d) carry out any regulated activity; or (e) provide any financial, investment, legal, tax, or other professional advice. All financial services referenced on this website are provided exclusively by independent third-party institutions operating under their own regulatory authorizations.
2. Marketing material only
All content published on this website is marketing material intended to describe in general terms the nature of our partnership facilitation services. Nothing on this website constitutes a contract, contractual offer, commercial proposal, term sheet, indication of interest, or binding commitment of any kind. The execution of any commercial relationship between Veloris, an operator, and a licensed counterparty occurs exclusively through separately executed written agreements signed by authorized representatives of each party.
3. No offer or solicitation
Nothing on this website constitutes (i) an offer to provide any financial service, (ii) an offer or solicitation to enter into any payment processing, banking, custody, or settlement arrangement, (iii) an offer to sell or solicitation to buy any security, financial instrument, or virtual asset, or (iv) a recommendation to use any specific licensed counterparty. The decision to engage any licensed counterparty introduced by Veloris remains solely with the operator, and is subject to that counterparty's own underwriting, due diligence, and regulatory processes.
4. No advice
Information on this website is general in nature and does not constitute legal, regulatory, tax, accounting, investment, or financial advice. You should obtain independent professional advice appropriate to your circumstances before acting on any information provided here.
5. Pricing ranges & indicative figures
Pricing ranges, percentage figures, fee structures, MDR ranges, settlement timeframes, and other commercial metrics displayed anywhere on this website (including on the Network & Capabilities page, the Pricing Calculator, the FAQ, the product descriptions, and the case studies) are illustrative and indicative only and reflect general market patterns historically observed across our network. They are not:
- An offer, quotation, binding indication, or guarantee of pricing applicable to any specific operator;
- A representation that any licensed counterparty will offer pricing within those ranges to any given operator;
- A representation that pricing within those ranges is achievable for any specific vertical, geography, volume, or risk profile.
Final commercial terms applicable to an operator are determined exclusively by the licensed counterparty following completion of KYB, risk assessment, regulatory due diligence, and commercial negotiation. Actual pricing may fall outside (above or below) the indicative ranges shown depending on operator-specific factors including but not limited to: vertical risk weighting, geographic exposure, chargeback history, processing history, license posture, settlement complexity, and counterparty risk appetite.
Where Veloris communicates a specific pricing range or figure to a particular operator outside of this website (for example by email, in a written proposal, or under NCNDA), that specific communication is the operative figure for that operator's matter — not anything appearing on this website.
6. Case studies, metrics & performance examples
Case studies and engagement examples shown on this website are anonymized profiles drawn from past or active engagements. They are illustrative of the type of work Veloris undertakes; they are not testimonials, endorsements, or representations that any particular operator will achieve similar outcomes. Past results do not predict future results. Specific volumes, timelines, and metrics shown are particular to the operators described and are not representative of typical outcomes.
7. Forward-looking statements
Statements that refer to anticipated growth, expected market trends, regulatory expectations, future jurisdictional coverage, future product capability, or any other matter that is not a present fact are forward-looking statements. Forward-looking statements involve known and unknown risks, uncertainties, regulatory developments, and other factors that may cause actual outcomes to differ materially from those expressed or implied. Veloris assumes no obligation to update any forward-looking statement.
8. Third-party references & licensed counterparties
References to regulatory frameworks (such as FCA, FINTRAC, MiCA, PSD2, MGA, MAS), card schemes (Visa, Mastercard), payment systems (SEPA, Faster Payments, PIX), or similar third-party labels are made for general informational purposes only. Veloris is not endorsed, sponsored, certified, or affiliated with any of these regulators, schemes, or operators. Each licensed counterparty within our network operates under its own license, regulatory permissions, and commercial terms; Veloris does not control and is not responsible for the conduct, performance, regulatory status, or business operations of any licensed counterparty.
9. No warranties
The website and all information on it are provided "as is" and "as available" without warranty of any kind, whether express, implied, statutory, or otherwise, to the maximum extent permitted by applicable law. Without limiting the foregoing, Veloris disclaims all warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, uninterrupted access, security, and availability.
10. Limitation of liability
To the fullest extent permitted by applicable law, in no event shall VelorisOS Global Ltd, its directors, officers, employees, agents, contractors, or affiliates be liable to any party for any direct, indirect, incidental, consequential, special, exemplary, punitive, or any other damages (including without limitation loss of profit, loss of revenue, loss of business, loss of goodwill, loss of data, loss of opportunity, or business interruption) arising out of or in any way connected with: (a) your use of or inability to use this website; (b) any reliance placed on any information appearing on this website; (c) any communication, introduction, or facilitation provided by Veloris; (d) the conduct, performance, pricing, or services of any licensed counterparty; or (e) any matter relating to Veloris's services, whether based in contract, tort (including negligence), statute, or any other legal theory, and even if Veloris has been advised of the possibility of such damages.
In any case where applicable law does not permit the foregoing exclusion in full, Veloris's aggregate liability arising out of or relating to your use of this website or the matters described herein shall not exceed GBP 100 (one hundred pounds sterling).
11. Indemnity
You agree to indemnify, defend, and hold harmless VelorisOS Global Ltd, its directors, officers, employees, agents, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (i) your use of this website; (ii) your breach of these disclaimers, the Terms of Use, or any applicable law; (iii) any representation or warranty made by you to a licensed counterparty; or (iv) any business activity you undertake following any introduction or facilitation by Veloris.
12. Force majeure
Veloris shall not be liable for any failure or delay in performing any obligation arising out of or relating to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, pandemics, government action, regulatory action, sanctions, scheme rule changes, banking-system disruption, cyber attacks, or failures of third-party infrastructure.
13. Severability
If any provision of these disclaimers or the Terms of Use is found to be invalid, illegal, or unenforceable in any jurisdiction, that provision shall be modified to the minimum extent necessary to render it enforceable, or if not capable of modification shall be severed. The remaining provisions shall continue in full force and effect.
14. Entire agreement
These disclaimers, together with the Terms of Use, the Privacy Policy, the Cookie Notice, and any separately executed written agreement between you and Veloris, constitute the entire agreement between you and Veloris with respect to your access to and use of this website, and supersede all prior or contemporaneous communications, understandings, and agreements relating to that subject matter.
15. Variation
Veloris may modify these disclaimers at any time by posting a revised version on this website. The "Last updated" date reflects the most recent revision. Your continued use of this website following any such revision constitutes acceptance of the revised disclaimers.
16. Governing law & jurisdiction
These disclaimers and any non-contractual obligations arising out of or in connection with them are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these disclaimers or their subject matter, including non-contractual disputes or claims.
